Terms of Service
1. Agreement to Terms
By engaging the services of Tier 3 Computer Services, LLC ("Company", "we", "us", "our"), you ("Client", "you") agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
2. Services
Tier 3 Computer Services, LLC provides a range of computer repair and IT support services, including but not limited to device diagnostics, hardware and software repair, virus and malware removal, data backup and recovery, and network setup. The specific scope of services, deliverables, and timelines will be outlined in a separate Statement of Work (SOW) or client agreement.
3. Client Obligations
To enable us to perform our obligations, the Client shall cooperate with us and provide any information, access to devices and relevant accounts as applicable, and any authorized credentials or system documentation required for the provision of services. The Client is responsible for the accuracy and legality of all materials provided to us.
4. Payment Terms
Fees for our services will be detailed in the SOW. Typically, services are billed on a monthly retainer basis, payable in advance. Any parts, replacement components, and applicable software/license fees (if required) are billed to the Client as specified in the SOW. Late payments may result in a suspension of services and/or late fees.
5. Term and Termination
The initial term of the engagement will be specified in the SOW. Following the initial term, the agreement may continue on a month-to-month basis. Either party may terminate the agreement with 30 days' written notice. Upon termination, the Client is responsible for payment for all services rendered up to the termination date.
6. Intellectual Property
The Client retains ownership of all pre-existing materials, data, and intellectual property provided to us. We retain ownership of our proprietary processes, tools, and methodologies used in performing the services. Any final work product created specifically for the Client under the SOW (such as configuration files, documentation, and reports) will become the property of the Client upon full payment.
7. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party. This includes business strategies, financial information, and device/service logs and technical data. This obligation of confidentiality will survive the termination of our agreement.
8. Limitation of Liability
Tier 3 Computer Services, LLC will perform its services with reasonable skill and care. However, we do not guarantee specific results such as data recovery success, device performance outcomes, or security/infection-removal results, as these depend on factors beyond our control. In no event shall Tier 3 Computer Services, LLC be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tier 3 Computer Services, LLC is registered, without regard to its conflict of law principles.
